Specifications of Project:

The "Subcontractor" (named above) shall furnish all of the necessary music and equiptment required for the above stated event, and perform all of the required duties as described in the work description(below). All in accordance with scope described herein and the terms of the Contract Documents.

A. Description of Work: Disc Jockey Services Only. Provide own complete system, back up System and Wireless Microphones. Also to perform set up and take down of equiptment.

B. Attire: Subcontractor will wear a dress suit consisting of shirt, tie, pressed pants and a Jacket. No Logo outside of All Florida DJs is permitted at any time, including casual attire worn during the set up and take down process.

WHEREAS, the Subcontractor desires to enter into this Agreement with respect to his services to All Florida DJs, upon the terms and conditions hereinafter set forth. the parties agree as follows:

1. All Florida DJs shall retain the Subcontractor and the Subcontractor shall assist All Florida DJs upon the terms and conditions hereinafter set forth.

2. The term of this Agreement shall commence on the Friday July 11, 2014 and terminate on the conclusion of set forth event date unless terminated prior to that date as set out hereinafter.

3. Duties of Subcontractor. During the period of this Agreement, the Subcontractor shall have the full and complete obligation and responsibility for the performance of the duties and/or work described in the Job Description stated above for the Subcontractor shall be obligated to All Florida DJs for the performance of all such duties and/or work. During the period hereof, the Subcontractor shall assist All Florida DJs and shall perform any and all services required or requested in connection with the contracted event.

4. Time Requirements. The Subcontractor shall devote, during the term of this Agreement, such of his time, energy, and skill as is necessary in the performance of his duties hereunder and shall periodically, or at any time,upon the request of All Florida DJs, submit data as to the time requirements of work performed and to be performed by him for All Florida DJs in connection with this Agreement. The Subcontractor is required to be set up and ready to perform their duties on time and in a professional manor prior to event start time.

5. Fees to Subcontractor. All Florida DJs shall pay the Subcontractor on a "per project" basis for services in connection with this Agreement, the exact amount for each project to be agreed upon in writing by All Florida DJs and the Subcontractor, prior to any work being performed. The Subcontractor will receive full payment of agreed amount within 7-10 business days from the date of the event 11-Jul-14.

6. Relation of the Parties. The Subcontractor is retained by All Florida DJs only for the purposes and to the extent set forth in this Agreement and the Subcontractor's relationship to All Florida DJs shall, during the term of this Agreement, be that of an Independent Contractor.

All Florida DJs shall not withhold, from sums becoming payable to the Subcontractor hereunder, any amounts for State or Federal Income Tax, or for FICA (Social Security) Taxes, during the term of this Agreement. The Subcontractor shall be free to dispose of such portions of his entire time,energy and skill as he is not obligated to devote hereunder to All Florida DJs in such manner as he deems advisable. The Subcontractor shall not be considered as having an employee status or as being entitled to participate in any plans, arrangements or distributions by All Florida DJs

pertaining to or in connection with any pension, stock, bonus, profit sharing or other benefit extended to All Florida DJs. The Subcontractor is entilted to receive 100% of gratuity provided by the client at end of event if performing solo and 50% shared gratuity if accompanied with an assistantant.(ie..Dancer,M.C.,D.J.)

7. Professional Responsibility and Conduct. Nothing in this Agreement shall be construed to interfere with or otherwise affect the rendering of services by the Subcontractor in accordance with his independent and professional judgment. The Subcontractor shall perform his services substantially in

accordance with generally accepted practices and principles of his trade.

This Agreement shall be subject to the rules and regulations of any and all organizations and associations to which the Subcontractor may from time to time belong and to the laws and regulations governing the practice of the Subcontractor's trade in this State. Subcontractor will soley represent All Florida DJs on Event performance date as listed above and shall only distribute marketing materials and business cards related to All Florida DJs. Any mention or distribution of any kind of materials for any other company, subcontractor does realize payment and further legal actions will be taken against subcontractor from All Florida Djs.

8. Indemnity to Subcontractor. All Florida DJs will not indemnify the Subcontractor against any loss or liability or Medical Injury which the Subcontractor may sustain by reason of any contract entered into by All Florida DJs with any principal or loss which the Subcontractor may incur by reason of the work performed by the Subcontractor hereunder.

9. Termination. This Agreement may be terminated at any time, with or without cause, by All Florida DJs upon thirty (30) days written notice. Subcontractor is responsible for finding a responsible replacement within a thirty (30) day notice if for any reason cannot fulfill obligation. a $500.00 Penalty will be incurred to the subcontractor should they not show up to agreed upon date listed above without any notice.

10. Income Tax Designation. In the event that the Internal Revenue Service should determine that the subcontractor is, according to I.R.S. guidelines, an employee subject to withholding and social security contributions, the subcontractor shall acknowledge, as the subcontractor acknowledges herein, that all payments to the subcontractor are gross payments, and the subcontractor is responsible for all income taxes and social security payments thereon.

11. Social Media - Subcontractor is NOT allowed to post any pictures from this event on any Social Media Websites at all. All Florida Djs is more than willing to post pictures Subcontractors take, and forward to All Florida Djs. Subcontractor agreed not to search or find client on any social media sites
