Entertainment Agreement

This AGREEMENT is made by and between the party listed below (hereinafter referred to as the "Client") and Chris Happ, d/b/a Christopher Happ DJ Service.

The Client hereby agrees to pay to Christopher Happ DJ Service payment for its services in accordance with Christopher Happ DJ Service customary Schedule of Rates, attached hereto and incorporated herein by reference. Based on the information submitted by Client and said Schedule of Rates, the charges for the services to be rendered hereunder are:

Client agrees to pay, upon signing this Agreement, a NON-REFUNDABLE RETAINER of $100.00. The Total Amount Due of the balance seven (7) days before agreed date.

PERFORMANCE Client does hereby agree, as a condition precedent to the Christopher Happ DJ Service performance hereunder, to provide:

        a. A minimum of one (1) six (6) foot long table near a suitable electrical outlet;
        b. Complete direction to the Location of Event;
        c. Two-hour prior access to the Location of Event; and
        d. A signed copy of this Agreement, together with payment NON-REFUNDABLE RETAINER of $100.00.

This Agreement, together with the Additional Terms and Conditions attached hereto constitute the entire agreement and understanding among the parties hereto with respect to the subject matter hereof and supersede all prior understanding and agreements, whether written or oral, with respect to the subject matter hereof. This Agreement may be amended only by a written instrument executed by the parties hereto.

Gratuity is not included. Tipping is appropriate and appreciated.

ADDITIONAL TERMS AND CONDITIONS

1. This Agreement shall only become binding upon Christopher Happ DJ Service receipt of a signed copy of this Agreement together with payment of the full Retainer at least fourteen (14) days of mailed/emailed contract. Prior to receipt of the signed copy of this Agreement, and payment of the full Retainer, Christopher Happ DJ Service is not under any obligation to hold the date of Event open for the Client.

2. Upon receipt of a signed copy of this Agreement together with full payment of the Retainer, Christopher Happ DJ Service will reserve the Date of Event for Client, and shall not seek to plan other engagements for this date. As such, unless otherwise specified herein, Christopher Happ DJ Service shall retain Client's Retainer as a reasonable estimation of its damages hereunder if this Agreement is not performed for any reason, including, but not limited to, the following circumstances: a. The Client canceling this Agreement; b. The Client's failure to complete all the conditions precedent to Christopher Happ DJ Service obligations, as specified in this Agreement; c. Christopher Happ DJ Service inability to perform hereunder if its performance is impeded by matters outside of its control, including, but not limited to, fire, casualty, acts of God, local, state or federal regulations, inadequate crowd control or protection from environmental conditions.

3. In the event the Client cancels the Event, but requests Christopher Happ DJ Service services for a different date (a "Rescheduled Date"), the parties shall enter into a new Agreement for the Rescheduled Date. Christopher Happ DJ Service will apply Client's previously paid Retainer to the Rescheduled Date, and Client agrees to pay any additional Retainer due at that time.

4. In the event the DJ assigned to this Event is unable to perform due to illness, accident, equipment failure or otherwise, Christopher Happ DJ Service shall use its best efforts to find a replacement DJ, equipment or to otherwise perform hereunder. If Christopher Happ DJ Service is unable to locate a replacement DJ or replacement equipment, and therefore fails to perform hereunder, Client's Retainer shall be refunded within fourteen (14) days after the Event Date. The parties agree that refund of its Retainer shall be Client's sole and exclusive remedy in either law or in equity for Christopher Happ DJ Service failure to perform hereunder.

5. Christopher Happ DJ Service does not provide any warranties or guarantees with respect to its performance hereunder and none should be implied by Client, or by law.

6. The Client agrees to be fully responsible for any loss or damage suffered by Christopher Happ DJ Service to its equipment, representatives or otherwise during the performance, including, but not limited to, damage as a result of improper crowd control, negligent or willful misconduct by the Client's guests or exposure to environmental elements.

7. If Client fails to pay the full amount due prior to the Event, the DJ Christopher Happ DJ Service is uinder no legal obligation to set-up or perform on contracted date. Client agrees in the event final payment is not received no later than 2 hours before scheduled performance time they have no legal recourse as this is a breech of this contract.

8. In the event Christopher Happ DJ Service must commence collection procedures, Client shall pay the costs and expenses of the same, including, but not limited to, reasonable attorneys fees.

9. Client shall provide to all Christopher Happ DJ Service representatives in attendance at the Event meals, if meals are being served at the Event, unless otherwise agreed upon by the parties, in advance.

10. Christopher Happ DJ Service herein reserves the right to utilize photographs, video recordings, audio or other media documentation of the Event for purposes of its own marketing and the Client herein expressly authorizes any such activities by Christopher Happ DJ Service.

11. This Agreement shall be construed in accordance with the laws of the State of Iowa.
